1 Acceptance of Terms

Welcome to Text3D.ai. These Terms of Service ("Terms") form a legal agreement between you ("you," "your," or "user") and Windvale LLC, a company registered in the State of Wyoming, United States ("Company," "Text3D.ai," "we," "us," or "our"). By accessing or using Text3D.ai, creating an account, purchasing a subscription, buying credits, generating a 3D asset, downloading a file, or using any related service, you agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference.

If you do not agree to these Terms, you may not access or use Text3D.ai. If you use Text3D.ai on behalf of a business, organization, school, studio, or other entity, you represent and warrant that you have authority to bind that entity to these Terms, and "you" refers to that entity.

2 Definitions

• "Service" means the Text3D.ai website, applications, AI 3D generation tools, related features, and any content or software we make available.
• "User Content" means prompts, text, images, multiview reference images, uploaded 3D files, asset names, and any other materials you submit to the Service.
• "Generated Assets" means 3D models, meshes, textures, thumbnails, previews, renders, animations, and exported files produced through the Service.
• "Credits" means the usage units consumed when running certain generation or processing tasks.
• "Subscription" means any recurring paid plan, including monthly and annual memberships.

3 Text3D.ai Service Description

Text3D.ai provides online AI 3D creation tools, including but not limited to:

• Text to 3D AI Generator - create 3D models from text prompts.
• Image to 3D Model Generator - create 3D assets from a single reference image.
• Multiview to 3D AI Generator - create 3D models from multiple images of the same object.
• AI 3D Texture Generator - generate or enhance textures for 3D models.
• 3D Model Converter - convert between formats such as GLB, OBJ, FBX, STL, PLY, USDZ, and 3MF.
• 3D Model Repair, Remeshing, Rendering, Animation, Segmentation, Volume Calculation, and Texture Baking tools - support post-generation 3D asset workflows.

Text3D.ai is a browser-based software-as-a-service (SaaS) product. We may add, modify, limit, suspend, or discontinue features, model versions, file formats, credit costs, or output options at any time as the Service evolves.

4 Eligibility and Age Requirements

You must be at least 13 years old (or the higher minimum age required in your country) to use Text3D.ai. If you are under the age of majority in your jurisdiction, you may use Text3D.ai only with the involvement, permission, and supervision of a parent or legal guardian who agrees to these Terms.

Text3D.ai is not directed to children under 13, and we do not knowingly collect personal information from children under 13. To make purchases, you must be of legal age to form a binding contract and authorized to use the payment method you provide. You may not use Text3D.ai if you are barred from receiving online services under applicable law, sanctions rules, export controls, or these Terms.

5 Accounts and Security

You may need an account to generate, store, manage, or download 3D assets. You agree to provide accurate, current, and complete information, keep your login credentials secure, and promptly notify us at [email protected] of any unauthorized use of your account.

You are responsible for all activity under your account, including prompts, uploaded images, uploaded 3D files, generated assets, downloads, credit usage, and subscription activity. We may suspend or terminate accounts that violate these Terms, create risk to Text3D.ai, abuse the Service, violate payment rules, infringe third-party rights, or engage in prohibited conduct.

6 Subscriptions, Billing, and Auto-Renewal

Text3D.ai may offer free access, paid subscriptions, credit packs, annual plans, monthly plans, and other paid features. Prices, credits, plan limits, renewal terms, generation costs, and feature availability are displayed on the website or checkout page. All prices are stated in the currency shown at checkout and, unless stated otherwise, are exclusive of applicable taxes (such as VAT, GST, or sales tax), which may be added based on your location and billing information.

Auto-renewal authorization

Subscriptions renew automatically. When you purchase a Subscription, you authorize us and our payment provider to store your payment method and to charge it on a recurring basis (for example, monthly or annually) at the then-current price, together with applicable taxes, until you cancel. Your billing cycle, renewal date, and amount are shown at checkout and, where available, in your account.

Cancellation

You may cancel your Subscription at any time through your account settings (where available) or by contacting [email protected]. Cancellation takes effect at the end of the current billing period; you retain access to paid features until then. Cancellation stops future renewals but does not, by itself, refund amounts already charged unless required by law or expressly allowed by our Refund Policy.

Price changes and failed payments

We may change prices, plan features, or credit allocations on a prospective basis. Where required by law, we will provide advance notice of material price increases before they take effect, and your continued use after the change constitutes acceptance. If a payment fails or is reversed, we may retry the charge, suspend paid features, downgrade your plan, or terminate the Subscription. You are responsible for keeping your payment information current.

7 Credits, Generation Costs, and Failed Tasks

Some Text3D.ai features use Credits. Credit costs may vary based on model version, texture quality, geometry quality, mesh type, file conversion, rendering, video generation, repair, or other processing choices. Cost estimates shown in the interface are intended to help you understand expected usage before you submit a task.

If a generation task fails and no usable 3D asset is created, the Credits used for that failed generation are automatically returned to your account or otherwise corrected by our system. Except where required by law or expressly stated by Text3D.ai, Credits are not transferable, not redeemable for cash, and not refundable.

Subscription credits, bonus credits, promotional credits, and purchased credit packs may have different validity periods, refill cycles, rollover rules, or usage limits as described on the checkout page, pricing page, or in your account.

8 Refunds, Cancellation, and Consumer Withdrawal Rights

Refund eligibility is governed by our Refund Policy, checkout disclosures, applicable consumer law, and the terms of the relevant payment provider. Unless required by law or expressly stated otherwise, fees for the current billing period, consumed Credits, successfully generated assets, downloaded files, and completed digital services are generally non-refundable.

EU / UK / EEA consumers - right of withdrawal and digital content

If you are a consumer in the European Union, United Kingdom, EEA, or another jurisdiction granting a statutory cooling-off period, you may have the right to withdraw from a purchase within 14 days. However, for digital content and digital services supplied immediately, you expressly request that performance begin during the withdrawal period and acknowledge that, by starting to use the Service, generating an asset, or consuming Credits, you lose your right of withdrawal once performance has begun, to the extent permitted by law.

Effect of refunds and chargebacks

If a refund, chargeback, payment reversal, or cancellation results in loss of paid entitlement, the related commercial usage rights, paid downloads, commercial license certificates, and paid plan benefits may be suspended, revoked, or invalidated for the affected transaction or assets. If you receive a refund for an asset or Subscription that granted commercial rights, you must stop using the affected asset commercially unless and until you obtain a valid paid license again. Nothing in these Terms limits mandatory rights you may have under applicable consumer protection laws.

9 Commercial License and Asset Usage Rights

Text3D.ai offers different commercial usage rights depending on your plan and the status of your payment:

Commercial rights are conditioned on lawful use, valid payment, no refund or chargeback, no violation of these Terms, and your ownership of or authorization for all uploaded inputs and references. Commercial rights do not grant you any rights to third-party trademarks, copyrighted characters, celebrity likenesses, product designs, brand logos, patented designs, or other protected materials that you do not own or have permission to use.

If a payment is refunded, reversed, disputed, charged back, or found fraudulent, any commercial license granted from that payment may be revoked, and any downloaded license certificate connected to the refunded or reversed entitlement becomes invalid.

10 User Content, Uploaded Files, and Generated 3D Assets

You retain the rights you hold in your User Content. You grant Text3D.ai a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, transform, transmit, and display User Content and Generated Assets solely as necessary to provide, maintain, secure, troubleshoot, and improve the Service, and as otherwise described in our Privacy Policy.

You are solely responsible for ensuring that you have all rights, permissions, consents, and legal bases needed to upload User Content and to use Generated Assets. You represent that your User Content does not infringe or violate any third-party right or any law.

Text3D.ai does not guarantee that any generated output is unique, original, non-infringing, copyrightable, patent-free, trademark-free, or suitable for a particular commercial use. Because of how generative AI works, similar prompts may produce similar outputs for different users.

11 Feedback

If you send us feedback, suggestions, ideas, or feature requests about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate that feedback for any purpose without obligation or compensation to you.

12 Prohibited Uses

You agree not to use Text3D.ai, its AI 3D model generator, generated assets, or related tools for any unlawful, harmful, abusive, deceptive, infringing, or high-risk activity. Prohibited uses include, but are not limited to:

• Violating any law, regulation, sanctions rule, export control, court order, payment network rule, or third-party right.
• Uploading, generating, distributing, or commercializing content that infringes copyrights, trademarks, patents, trade secrets, design rights, publicity rights, privacy rights, or other intellectual property rights.
• Creating counterfeit goods, fake branded products, unauthorized replicas, or assets that impersonate brands, people, businesses, governments, or official documents.
• Creating or facilitating weapons, regulated firearm parts, explosives, dangerous materials, illegal devices, or instructions for harm, including 3D-printable weapon components or other regulated items.
• Generating pornography, sexually explicit content, content sexualizing minors, child sexual abuse material, non-consensual intimate imagery, or other adult content prohibited by our policies or our payment providers.
• Harassing, threatening, defaming, intimidating, doxxing, or discriminating against any person, or promoting hate, violence, terrorism, extremism, self-harm, or abuse.
• Uploading malware, attempting to bypass security, scraping, reverse engineering, overloading infrastructure, automating abuse, or interfering with the Service.
• Using Text3D.ai for fraud, phishing, deceptive commercial practices, fake testimonials, hidden pricing, chargeback abuse, identity theft, or other payment abuse.
• Creating regulated medical, legal, financial, aerospace, military, or safety-critical outputs without appropriate professional review and legal compliance.
• Using outputs as final manufacturing, engineering, medical, safety, or compliance-certified assets without independent inspection and validation.

We may remove content, block downloads, withhold commercial license certificates, suspend accounts, limit Credits, or report activity to authorities if we reasonably believe a violation has occurred.

13 AI Output Limitations and Quality

Text3D.ai uses AI systems and third-party infrastructure that may produce imperfect, unexpected, incomplete, inaccurate, non-manifold, distorted, or unusable outputs. Results may vary based on prompt quality, image clarity, model version, texture and geometry settings, mesh type, server load, and third-party model behavior.

You are responsible for reviewing, testing, repairing, validating, and confirming any Generated Asset before using it in games, printing, manufacturing, AR/VR, ecommerce, animation, commercial products, client projects, or public distribution. Generated Assets are provided for creative and design purposes and are not certified for any safety-critical or regulated use.

14 Intellectual Property and Copyright Complaints

Text3D.ai, Windvale LLC, and our website design, interface, brand elements, software, workflows, model orchestration, documentation, Credit system, icons, logos, and Service content are protected by intellectual property and other laws. Except for the rights expressly granted in these Terms, we reserve all rights in and to Text3D.ai. You may not copy, modify, distribute, resell, frame, scrape, reverse engineer, or create competing services using Text3D.ai content, software, APIs, or interface except as permitted by law or with our written permission.

Notice and takedown (copyright complaints)

We respect intellectual property rights and respond to valid notices of alleged infringement consistent with the U.S. Digital Millennium Copyright Act (DMCA) and other applicable laws. If you believe content on Text3D.ai infringes your copyright, send a written notice to [email protected] including: (a) your contact details; (b) identification of the copyrighted work; (c) identification of the allegedly infringing material and its location; (d) a statement of good-faith belief that the use is unauthorized; (e) a statement, under penalty of perjury, that your notice is accurate and that you are the rights holder or authorized to act on their behalf; and (f) your physical or electronic signature. We may remove or disable access to allegedly infringing material and may terminate the accounts of repeat infringers.

15 Privacy and Data Protection

Our collection and use of personal information is described in our Privacy Policy. By using Text3D.ai, you acknowledge that prompts, uploaded images, 3D files, generated assets, logs, account data, payment metadata, and support communications may be processed as described in that policy.

We process personal data in accordance with applicable data protection laws, which may include the EU/UK GDPR and the California Consumer Privacy Act (CCPA/CPRA). Where we transfer data internationally, we use appropriate safeguards as described in the Privacy Policy. To exercise data rights, contact [email protected].

16 Payment Platform, Sanctions, and Compliance Requirements

You may not use Text3D.ai in any way that violates payment provider policies, card network rules, sanctions laws, export controls, consumer protection rules, or platform compliance requirements. This includes activities involving prohibited or sanctioned jurisdictions, sanctioned persons, illegal goods, adult content prohibited by payment processors, gambling, regulated weapons, counterfeit goods, deceptive subscription practices, or other prohibited or restricted business activities.

To comply with fraud-prevention, payment, sanctions, and legal obligations, we may request additional information, verify your identity, block transactions, deny purchases, cancel Subscriptions, suspend accounts, or restrict downloads.

17 Third-Party Services

Text3D.ai may rely on third-party AI models, cloud hosting, payment processors, storage providers, email services, analytics, rendering infrastructure, file conversion tools, and other service providers. Your use of third-party services may be subject to their own terms. We are not responsible for third-party outages, delays, model behavior, API changes, payment failures, or feature restrictions outside our reasonable control.

18 Availability, Changes, and Beta Features

We aim to provide reliable service, but Text3D.ai may be unavailable, delayed, limited, or interrupted due to maintenance, network problems, third-party services, security issues, server load, or model-provider changes. Some features may be experimental, beta, or preview, may be offered without warranties, and may change or be withdrawn at any time.

19 Suspension and Termination

We may suspend or terminate your account, remove content, revoke Credits, block downloads, invalidate commercial licenses, or limit access if we reasonably believe you violated these Terms, abused the Service, infringed rights, created legal risk, engaged in fraud, or caused harm to Text3D.ai, users, payment providers, or third parties.

You may stop using Text3D.ai at any time. Provisions that by their nature should survive termination - including payment obligations, license restrictions, intellectual property, prohibited uses, disclaimers, limitations of liability, indemnification, and dispute terms - survive termination.

20 Disclaimers

Text3D.ai is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted availability, accuracy, uniqueness, commercial suitability, 3D printability, manufacturing suitability, or compatibility with specific software or hardware. Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.

21 Limitation of Liability

To the maximum extent permitted by law, Windvale LLC and Text3D.ai will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, data, business, or goodwill, production losses, manufacturing errors, failed prints, client claims, or third-party claims arising from your use of Text3D.ai.

To the maximum extent permitted by law, our total aggregate liability for any claim arising out of or relating to the Service is limited to the greater of (a) the amount you paid to Text3D.ai for the Service giving rise to the claim during the three (3) months before the event giving rise to liability, or (b) USD $50. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.

22 Indemnification

You agree to defend, indemnify, and hold harmless Windvale LLC, Text3D.ai, and our officers, employees, contractors, service providers, and affiliates from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable legal fees) arising out of your User Content, Generated Assets, commercial use, violation of these Terms, violation of law, infringement of third-party rights, payment disputes, or misuse of the Service.

23 Governing Law and Dispute Resolution

These Terms are governed by the laws of the United States and, where applicable, the laws of the state in which Windvale LLC is organized, without regard to conflict-of-law rules. If you are a consumer, you may also benefit from mandatory provisions of the law of your country of residence, and nothing in these Terms limits rights that cannot be waived under applicable law.

Informal resolution first

Before filing any claim, you agree to contact us at [email protected] and to work with us in good faith to resolve the dispute informally for at least 30 days.

Arbitration and class-action waiver (where enforceable)

To the extent permitted by applicable law, any dispute that is not resolved informally will be resolved by binding individual arbitration rather than in court, and you and Windvale LLC waive the right to a jury trial and to participate in a class or representative action. This arbitration provision does not apply where prohibited by law, and you may still bring qualifying claims in small-claims court. Consumers in the EU, UK, or other jurisdictions with mandatory protections retain all rights that cannot be waived, including access to the EU Online Dispute Resolution platform where applicable.

24 General Provisions

Entire agreement. These Terms, together with the Privacy Policy, Refund Policy, and any checkout disclosures, constitute the entire agreement between you and us regarding the Service and supersede prior agreements on the same subject.

Severability. If any provision is held invalid or unenforceable, the remaining provisions remain in full effect, and the invalid provision will be modified to the minimum extent necessary to make it enforceable.

No waiver. Our failure to enforce any provision is not a waiver of that provision or any other right.

Assignment. You may not assign or transfer these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.

Force majeure. We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including outages, natural disasters, war, labor disputes, or acts of third-party providers.

No third-party beneficiaries. These Terms do not create rights for any third party except as expressly stated.

Electronic communications and notices. You consent to receive communications from us electronically, including by email or through the Service, and agree that such communications satisfy any legal requirement that they be in writing. Notices to us should be sent to [email protected].

Headings and language. Headings are for convenience only. These Terms are written in English; any translation is provided for convenience, and the English version governs in case of conflict.

25 Changes to These Terms

We may update these Terms from time to time. If changes are material, we may provide notice through the website, email, or your account dashboard, and we will update the "Last Updated" date above. Your continued use of Text3D.ai after changes become effective means you accept the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.
